上市公司收購(gòu)法律問題探析

內(nèi) 容 提 要
上市公司收購(gòu)是指通過購(gòu)買一家上市公司的股份以獲得其控制權(quán)的法律行為。上市公司收購(gòu)是一個(gè)關(guān)系證券市場(chǎng)秩序的經(jīng)濟(jì)行為。其中涉及的法律問題復(fù)雜而且重要。本文試圖分析上市公司收購(gòu)中的基本法律問題及實(shí)踐中的問題。文章分五部分：第一部分通過對(duì)上市公司收購(gòu)與公司兼并、合并等概念的比較，討論和提出上市公司的概念和特征；第二部分分析了上市公司要約收購(gòu)的有關(guān)問題；第三部分分析了協(xié)議收購(gòu)的有關(guān)問題：第四部分結(jié)合國(guó)外立法例探討反收購(gòu)的有關(guān)部門問題，并就我國(guó)上市公司收購(gòu)立法的完善提出了作者的觀點(diǎn)。

Abstract
Corporate takeover through the public markets (hereinafter "takeover") means the legal act intending to get the control of a public corporation by the means of acquisition of its shares. Takeover and its legal control are both important and complicated. This thesis intends to analyses the basic legal and practice problems during takeovers. It consists of 4 chapters, chapter I, in comparing and differentiating with similar terms such as mergers, consolidation are, discuses and generalizes the conceptions and characters, Chapter Ⅱ、Ⅲ、Ⅳ analyses make thorough exposition and exploration of public takeover, agreed takeover and anti-takeover by means of comparative then put forward some feasible suggestion in respect to improving the takeover legislation of our country.
